 SkyPort International,Inc.‘s(SkyPort) application for consent t« ransfer control of its
1nternat10na1 section 214 authorization, ITC—214—19990211—00083, from CenturyTel, Inc. to
Balaton Group Inc. (Balaton).                 SkyPort has also filed companion applications for consent to
transfer control of its two transmlt/recelve earth stations and a VSAT system to Balaton. See
                         00591     (e—file)      an       S—T/C—20060407—00592 (e—file). CenturyTel currently
controls approx1mately 65 percent of the votmg1nterestsinSkyComm Technologles Corporation
(SkyComm), which wholly owns SkyPort. Applicants have entered into an agreement pursuant
to which Balaton will acquire approximately 84 percent of the issued and outstanding stock of
SkyComm. The remaining 16 percent of SkyComm will be owned by SkyComm‘s existing
shareholders, all of whom will hold interests of less than 5 percent. Balaton is a private equity
firm that is organized under the laws of Canada. It is wholly owned by five Canadian citizens.
