Dear Mr. Kennedy,
I confirm the following points raised in our telephone conversation today:

1) The air to ground link we will be using for the picocell experiments will be
via Inmarsat satellite, not PCS frequencies. We are a Inmarsat service provider
and have equipment installed on the aircraft compatible with Inmarsat service
and certified for Inmarsat use.

2) FAA certification is not necessary for this equipment since the aircraft will
be in experimental status for the purposes of our test flights. Honeywell
routinely carries out such test flying for avionics development purposes. The
aircraft will be placarded as experimental and the Honeywell pilots and
engineers involved will ensure airworthiness standards are met in accordance
with FAA regulations.

3) For the purposes of our market study, we will not be charging our customers
any fees for the use of the services offered and all such customer participation
will be voluntary on their behalf. All PCS equipment used during the tests is
commercially available off the shelf and is certified by the FCC for public use.
