to surrender this authority effective immediately based upon the April 15, 2015 notification letter to the
Commission regarding the Pro Forma base customer transfer to Matrix Telecom, Inc.

filing.

RE:          Transfer of Customers Between Carriers Pursuant to 47 C.F.R. § 64.112(e)

Dear Ms. Dortch:

In accordance with the requirements of 47 C.F.R. § 64.1120(e), Matrix Telecom, Inc. (Matrix) hereby notifies the
Commission of a potential transfer of certain interexchange and wholesale service customers from Americatel
Corporation ("Americatel") and Impact Telecom, Inc. ("Impact") to Matrix.

Matrix and Americatel are affiliates; each a wholly—owned subsidiary of Impact. Americatel‘s and Impact‘s
Customer bases were transferred to Matrix, with Matrix being the surviving entity, at 11:59 pm on December 31,
2014. There will be no change in the actual controlling entity with respect to the services and lines at issue as a
result of the merger because both companies have the same parent company (i.e, Impact). The merger is therefore a
"proforma" transaction because the transfer of control will not result in a change in the actual controlling party. No
prior approval is required for proforma transactions under 47 CFR 63.03(d).

1.           Names of Parties to Transaction: The names of the carries involved in this transfer are Americatel
             Corporation (transferor), Impact Telecom, Inc. (transferor) and Matrix Telecom, Inc.. (transferee).

             Type of Telecommunications Service Provided to Affected Customers: Americatel provides interexchange
             toll service through presubscribed and casual calling services while Impact provides wholesale carrier
             services.

             Date of the Transfer: The transfer took place on December 31, 2014 or upon specific state regulatory
             approval, whichever is later.

             Copy of the Notice Sent to Affected Customers: Customer notification letters were sent to impacted
             Americatel and Impact customers on or about November 19, 2014. A Copy of the notice letters is provided
             as Attachment 1.

             Certificate of Compliance: Matrix Telecom, Inc. hereby certifies compliance with the requirements to
             provide advance subscriber notice, in accordance with 47 C.F.R. § 64.112(e)(3). Matrix has also complied
             with the other statutory and Commission requirements that apply to this streamlined process. _

    2013. The next step in this acquisition is to consolidate all carrier operations. We consider our

    We will be consolidating all our branding under the Impact Telecom name and all carrier operations will
    be unified under Matrix Telecom, Inc. Rest assured that this transition will be seamless, as our networks
    will remain the same, providing a comprehensive global wholesale solution.

    This move will allow us to streamline our billing and payment processes, providing more efficient
    universal operations. There will be no changes to any terms or conditions under our agreement and we
    will ensure your account manager provides any assistance that may be necessary in this process and

    filings and will become effective on January 1, 2015, to help provide a clean transition for account
    management purposes.
