                              DESCRIPTION OF TRANSACTION

       Through this and related transfer of control applications,1 Harris CapRock
Communications, Inc. and Maritime Communication Services, Inc. (“FCC Licensee
Companies”), seek Commission consent for the proposed transfer of control of earth
station, land mobile and microwave, and experimental licensees from their common
parent company, Harris Corporation, to SpeedCast Americas, Inc. (“SpeedCast
Americas”). The transfer of control will be accomplished through the acquisition by
SpeedCast Americas from Harris Corporation of 100% of the stock of each of the FCC
Licensee Companies pursuant to a Sale Agreement involving these and other assets of
Harris Corporation.

        SpeedCast Americas is an indirect, wholly-owned subsidiary of SpeedCast
International Limited, an Australian publicly-traded company. SpeedCast Americas and
its affiliates (together, “SpeedCast”) provide satellite-based broadband access services,
managed networking solutions and value-added services in the United States and more
than 50 countries primarily in Asia-Pacific, the Middle East, Europe and Africa and serve
customers worldwide through their global maritime network. SpeedCast’s customers
include telecom providers, Internet service providers, governments and non-
governmental organizations, and other enterprises requiring communication services in
locations where wire-based communication is not possible or practical, or where mobility
is required. The ownership structure of SpeedCast Americas is set forth in Exhibit E.

       No change in the operation or use of the FCC-licensed facilities is expected as a
result of the grant of this proposed transfer of control. Grant of this application will
enable the FCC Licensee Companies to continue providing competitive non-common
carrier services to subscribers. Accordingly, the public interest would be served by
prompt consent to this application.
