ACC Licensee, LLC FCC Form 312 December 2014 Description of Transaction The proposed transaction is part of an internal reorganization. In the instant pro forma application, the parties propose a pro forma transfer of control of the licensee, ACC Licensee, LLC, from Allbritton Communications Company (“ACC”) to its immediate parent, Allbritton Group, LLC (“AGLLC”). ACC and AGLLC are indirect, wholly-owned subsidiaries of Sinclair Broadcast Group, Inc. Specifically, the licensee’s controlling member, ACC, will merge in, and contribute its interests in the earth station licenses, to its immediate parent, AGLLC. Following Commission consent to the proposed transfer of control, the licensee will be a direct, wholly-owned subsidiary of AGLLC. See attached ownership chart.
