Coronado Holdings, LLC — CNR FCC Form 312 Exhibit E Ownership This application seeks Commission consent to the transfer of control of Corporacion Nacional de Radiodeterminacion S.A. de C.V. (“CNR”), licensee of Earth Station license E990397, from QUALCOMM Incorporated (“QUALCOMM”) to Coronado Holdings, LLC (“Coronado”). The transfer of control of CNR will occur as a result of the concurrent transfer of control of its parent, Omnitracs, Inc. (“Omnitracs”) from QUALCOMM to Coronado, consent for which is being requested in a separate application being filed concurrently herewith. Omnitracs is the licensee of the following Earth Station licenses: E050178; E050179; E040139; E880423; E040133; E874276; E890949; E950009; E890948; E000003; E960474; and E000004. As a result of the proposed transaction, Omnitracs will become a direct, wholly-owned subsidiary of Coronado and CNR will become an indirect subsidiary of Coronado. The Managers of Coronado are Martin Taylor, Christian Sowul, and Marc Teillon. The officers of Coronado are Robert F. Smith, Chairman and President; Brian N. Sheth, Vice President; and Marc Teillon, Vice President and Secretary. All of the managers and officers of Coronado are Principals or Vice Presidents of Vista Equity Partners, and all are U.S. citizens. Robert F. Smith is Vista Equity Partners’ Chairman and CEO. For more information about Vista Equity Partners, please see http://www.vistaequitypartners.com. Currently, CNR is directly owned by Omnitracs de Mexico S.A. de C.V. (“Omnitracs de Mexico”) and Impulsos Corporativos S.A. de C.V. (“Impulsos Corporativos”), which itself is a direct controlled subsidiary of Omnitracs de Mexico. Each of Omnitracs de Mexico and Impulsos Corporativos is a Mexican Sociedad Anónima de Capital Variable principally engaged in the business of mobile wireless services. Omnitracs de Mexico is a greater than 99.99% controlled subsidiary of Omnitracs and holds a 49.00% ownership interest in CNR. Impulsos Corporativos, a greater than 99.99% controlled subsidiary of Omnitracs de Mexico, holds a 45.90% ownership interest in CNR. In furtherance of and in order to effectuate the proposed transaction, the interest of Impulsos Corporativos in CNR will be retired and CNR will become a greater than 99.99% direct controlled subsidiary of Omnitracs de Mexico. Omnitracs is a Delaware corporation principally engaged in the business of mobile wireless services. The address for each of Impulsos Corporativos, Omnitracs de Mexico, and Omnitracs is 5775 Morehouse Drive, San Diego, CA 92121. Coronado is 100% owned by Coronado Guarantor, LLC (“Coronado Guarantor”). Coronado Guarantor is 99% owned by Coronado Holdco, LLC (“Coronado Holdco”) and 1% owned by VEPF IV AIV VI, L.P. (“VEPF IV”). Coronado Holdco, in turn, is 100% owned by VEPF IV. The general partner of VEPF IV is Vista Equity Partners Fund IV GP, LLC (“VEPF IV GP”). The senior managing member of VEPF IV GP is VEFIIGP, LLC (“VEFIIGP”), which controls 100% of its voting interests. Robert F. Smith is the managing member of VEFIIGP and controls 100% of its voting interests. Coronado, Coronado Guarantor, Coronado Holdco, VEPF IV GP, and VEFIIGP are Delaware Limited Liability Companies. VEPF IV is a Delaware Limited Partnership. The principal business of the Vista Equity Partners family of funds is private equity investments focused on software and technology-enabled businesses.
