                     Exhibit F: Response to FCC Form 312, Question A21

         This application seeks consent to the pro forma transfer of control of earth station license
(call sign E040383), held by Terremark, from Verizon to a wholly owned subsidiary of Verizon,
VBNS, as part of an internal corporate restructuring. Below are charts showing the ownership of
Terremark before and after the proposed transaction.

        Verizon will retain the ultimate ownership and control of Terremark and the subject earth
station authorization both before and after the reorganization. Accordingly, the transaction is
deemed pro forma in nature. The Commission has previously stated that, in situations where no
substantial change of control will occur, “grant of the application is deemed presumptively in the
public interest.”1
