The parties to this application request Federal Communications Commission consent to
the proposed pro forma transfer of control of TelAlaska Incorporated (“TelAlaska” or the
“Licensee”), with respect to Domestic Satellite Earth Station E080229, from American
Broadband Communications, LLC (“American Broadband” or “Transferor”) to American
Broadband Companies, LLC (“ABC, LLC” or “Transferee”).

The proposed pro forma transfer of control will occur upon the completion of an internal
corporate reorganization in which a newly created intermediate subsidiary, ABC, LLC, is
inserted into the chain of ownership between American Broadband and American
Broadband Holding Company. As a result of this internal corporate reorganization, there
will be no actual change in control and Patrick L. Eudy will retain ultimate de jure
control over the Licensee and its operating company affiliates by virtue of his greater
than 50 percent indirect ownership interest in the Licensee following the close of this
transaction. Accordingly, it is respectfully submitted that the transaction is pro forma in
nature.

Expedited processing of the instant application is requested so that TelAlaska will be able
to continue operation of station E080229 and provide two-way voice and data services,
which represent life-line communications and the only communications link with the
outside world for many of its subscribers in rural/remote areas of Alaska. The
communities that are served by this system are located in extremely remote areas of
Alaska. The system provides TelAlaska’s customers with their only access to voice and
data, Internet, and video conference services. TelAlaska provides services to two (2)
common carriers s well as 16 businesses, five (5) schools, a healthcare clinic, 1,207
Internet customers and 1,169 cellular customers. Expedited processing will prevent a
substantial disruption to these vital communications services that cannot be easily
replicated (if at all) – in great measure due to the remoteness of the communities served,
the significant distances from urbanized areas and harsh weather conditions in Alaska.
Without these communications services, TelAlaska’s customers would not be able to
make calls for emergency services or otherwise obtain critical information via the Interne
in the event of an emergency. Accordingly, expedited processing of the instant
application is in the public interest.

Licensee and Mr. Eudy are the real parties in interest with respect to this application.

No party to this application is subject to a denial of federal benefits due to a conviction
for possession or distribution of a controlled substance, pursuant to Section 5301 of the
Anti-Drug Abuse Act of 1988, 21 U.S.C. §862.

Pursuant to Section 1.923(e) of the Commission’s Rules, the applicants state that this pro
forma transfer of control application is categorically exempt from environmental

processing under Section 1.1306 of the Commission’s Rules because a pro forma transfer
of control can have no environmental effect.

Grant of the instant application will serve the public interest by permitting Licensee to
provide telecommunications and information services to the public in rural Alaska.
