SAT-T/C-20101001-00206, SES-T/C-20101006-01266, SES-T/C-20101001-01275, SES-T/C-20101001-01273 and SES-T/C-20101001-01274 Dear Ms. Dortch: Iridium Constellation LLC, Iridium Satellite LLC, and Iridium Carrier Services LLC (collectively, the “Iridium Licensees”), by counsel and pursuant to Section 25.119(f) of the rules of the Federal Communications Commission (“Commission”),1 hereby notify the Commission that the pro forma transfer of control of all of the licenses held by the Iridium Licensees was consummated on December 31, 2010. On October 1, 2010, the Iridium Licensees sought approval for a minor corporate reorganization pursuant to which Baralonco, N.V., a Netherlands Antilles entity, would be domesticated into a Delaware entity. On October 12, 2010, the International Bureau authorized this pro forma transfer of control. The Iridium Licensees note that the transaction originally contemplated forming the Delaware entity as limited liability company named Iridium Blocker-B LLC. For business reasons unrelated to the Commission authorization, the entity was formed as a C corporation named Iridium Blocker-B Inc.2 1 47 C.F.R. § 25.119(f). 2 On October 28, 2010, counsel for the Iridium Licensees notified staff of the International Bureau of the decision to form the new entity as a C corporation rather than a limited liability company, and the staff advised that the change should be noted in this consummation notice. There have been no other changes to the informational aspects of the applications.
