("IWL") supplements the above—referenced transfer of control application to reference recently— filed pending earth station applications and special temporary authorizations ("STAs") that are part of the proposed transfer of control of IWL from 2000 Riverside Capital Appreciation Fund, L.P. ("Riverside" or "Transferor") to ABRY Partners V, L.P. ("ABRY" or "Transferee"). Specifically, IWL has recently filed the following applications for authority to operate new earth station facilities which are currently pending before the Commussion: e ECC File No. SES—LIC—20051111—01553 (Boomvang Facility) e FCC File No. SES—LIC—20051111—01554 (Neptune Facility) e FCC File No. SES—LIC—20051111—01555 (Nansen Facility) In addition, IWL recently applied for STA to operate the above—referenced earth station facilities while the associated Form 312 applications for permanent authority are pending before the FCC. The FCC has granted IWL‘s requests for STA through January 12, 2006, the file numbers and call signs are listed below. e FCC File No. SES—STA—20051111—01558; E050331 (Boomvang Facility) e FCC File No. SES—STA—20051111—01557; E050332 (Neptune Facility) e FCC File No. SES—STA—20051111—01556; E050333 (Nansen Facility)

These pending applications and STAs are incidental to the larger transaction between Riverside and ABRY. IWL requests that grant of the above—referenced application include authority for ABRY to control these authorizations and filings upon consummation of the transaction. In addition, IWL requests that grant of the above— referenced application include authority for ABRY to control the following: (1) authorizations issued to IWL prior to the consummation of the proposed transfer; and (2) any additional applications, notification of minor modifications, and amendments thereto filed by IWL and pending at the time of consummation. Such action would be consistent with prior Commission decisions. An original and four (4) copies of this filing are enclosed.
