Astrium is entering into agreement with RSCC (Customer), for the de—oriting of the Express AM4 Spacecraft. Under the terms of this agreement between Astrium and RSCC, RSCC shall be responsible for its agreement to the de—orbiting strategy recommended by Astrium, and with the support of Astrium co—ordinate all activities with the appropriate authorities. Furthermore RSCC shall indemnify and hold the Astrium and its and their officers, employees, directors, agents, affiliates and subcontractors harmless from and against any and all losses, damages, liabilities or demands (including reasonable legal fees) arising out of (i) any representation made by the Customer to any third party relating to the Services or performance of them; and (ii) any claim of persons dealing with or through the Customer {including insurers or customers of the Customer) relating to the Services or performance of them or any loss, damage, liability or demand arising out of such performance of the Services; and (iii) any claim by a third party in respect of loss of or damage resulting from performance of the Services.
