Ownership Information The applicant herein, RCN Cable TV of Chicago, Inc. ("RCN Chicago"), is currently a wholly-owned subsidiary of RCN Telecom Services of Illinois, LLC ("RCN IL"), which is in turn a wholly-owned subsidiary of RCN Corporation ("RCN"). 1 RCN, Yankee Cable Acquisition, LLC ("Yankee Cable") and Yankee Metro Parent, Inc. ("Yankee Metro") (along with Yankee Metro Merger Sub, Inc.) entered into an Agreement and Plan of Merger ("Merger Agreement") on March 5, 2010, for Yankee Cable and Yankee Metro to acquire control of RCN and its operating subsidiaries, including but not limited to RCN Chicago. Pursuant to the Merger Agreement, control of RCN Chicago and RCN IL will be transferred to RCN Telecom Services, LLC, which, in turn, will become a wholly-owned subsidiary of Yankee Cable, which is indirectly majority-owned by ABRY Partners VI, L.P. ("ABRY VI") (with ABRY VI holding sole voting control of Yankee Cable). ABRY VI is under the indirect control of Royce Yudkoff, a U.S. citizen. Applications have been filed with the Commission seeking Commission consent to the transactions specified in the Merger Agreement (collectively, the "Transfer Applications"). 2 The instant application by RCN Chicago will be pending and hopefully will be granted by the Commission during the pendency of the Transfer Applications and the period required for consummation of the transactions specified therein. Accordingly, in acting upon the instant application and the Transfer Applications, RCN Chicago respectfully requests that the Commission affirmatively include authority for transfer of control of RCN Chicago to RCN Telecom Services, LLC and ABRY VI as specified above with respect to the facilities proposed in the instant application. 1 See File Nos.
