 Dear Ms. Dortch:

        iHeartMedia + Entertainment, Inc. (“IHM”) hereby submits FCC Form 312 and the corresponding
 Schedule A requesting an Assignment of its Licenses for Call Signs E050143 and E010074.
         Please accept this letter of request as a supplement to IHM’s FCC Form 312 and Schedule A for
 the assignment of its licenses for Call Signs E050143 and E010074. The herein application for assignment
 requests that the following licenses be assigned to Orbital Media Networks, Inc., a Delaware
 Corporation:
 E050143 (SES-MOD-20150311-00141)
 VSAT Network, 76 Inverness Dr. East, Suite B, Englewood, Arapahoe, CO, 80112
 Expiration Date: 08/30/2020

 E010074 (SES-LIC-20120127-00098)

 Expiration Date: 03/06/2027

          The attached Statement of Corporate Organization and Control (“Exhibit E”) demonstrates that
 the sole shareholder and the sole corporate manager of Orbital Media Networks, Inc. are a Texas
 Corporation and a citizen of the United States of America, respectively. Assignment of these licenses
 will serve the public interest, convenience and necessity for the reasons indicated below:

         As a result of iHeartMedia + Entertainment, Inc.’s business decision to eliminate its satellite
 services in Englewood, Colorado, the grant of the instant request for assignment will serve the public

interest by allowing IHM’s currently existing telecommunications services (including services that
support the emergency alert notification system and distribution of news and other programming to
thousands of radio stations nationwide) to continue to operate with uninterrupted service under new
ownership.
          A Grant of Assignment of the E050143 and E010074 licenses to Orbital Media Networks, Inc. will
benefit the public interest by allowing it to provide service continuity to IHM’s customers, and the
public, that rely on IHM’s Colorado-based C-band and Ku-band facilities. The satellite earth station
facilities of E050143 and E010074 are used as part of a network of satellite facilities that distributes
programming to more than two thousand radio stations around the country. The network programming
includes weather reports and news regarding significant local, regional and national developments. In
addition, the E050143 facilities support a disaster recovery VSAT network that enables continuous
operations of radio stations where terrestrial connectivity has been interrupted by local, regional, or
national emergencies or disasters.
        Grant of the requested Assignment will not adversely affect any other party. iHeartMedia +
Entertainment, Inc. anticipates that the assignment of the above-referenced licenses to Orbital Media
Networks, Inc. will not inconvenience the public and that the transition will not interrupt the operations
of the emergency alert system, a public necessity.
