Exhibit F FCC Form 312 Items 43 & A21 Page 1 of 1 DESCRIPTION OF ASSIGNMENT & PUBLIC INTEREST SHOWING Applicant Assignor SkyWave Mobile Communications Corp. and applicant Assignee ORBCOMM License Corp. respectfully request Commission authorization for the assignment of the INMARSAT mobile earth station blanket licenses issued under FCC Call Signs E100192 and E030055 (the “SkyWave Blanket Earth Station Licenses”). The proposed FCC earth station license assignment is in connection with a merger transaction entered into between assignor’s parent company, SkyWave Mobile Communications Inc. (“SkyWave”), and assignee’s parent company, ORBCOMM Inc (“ORBCOMM”). ORBCOMM is a leading worldwide provider of machine-to-machine (“M2M”) mobile data communication services. Following consummation of the merger, ORBCOMM will integrate SkyWave’s worldwide INMARSAT product and service business with ORBCOMM’s existing range of M2M product and service offerings. Assignment of the SkyWave Blanket Earth Station Licenses to ORBCOMM License Corp. will facilitate ORBCOMM’s amalgamation of SkyWave’s INMARSAT business in the United States. Combining SkyWave’s INMARSAT business with ORBCOMM’s existing range of M2M offerings will allow ORBCOMM to better address the rapidly growing worldwide demand for M2M products and services. Furthermore, the ORBCOMM-SkyWave merger is expected to yield substantial efficiencies and economies of scale in network management, product development, marketing, and customer service. For all of these reasons, Commission grant of this application for assignment authorization will serve the public interest, convenience, and necessity.
