                                   Public Interest Statement

This application requests consent of the Federal Communications Commission (“FCC”) to the
pro forma assignment of the satellite earth station license held by Yum Restaurant Licensing
Corp. (the “Licensee”) to Yum Restaurant Service Group, Inc. (the “Assignee”). The Licensee
holds only non-common carrier authority, and uses radio facilities for internal communications
in support of its restaurant operations.

The Assignee is a wholly-owned subsidiary of Yum! Brands Inc. (“Yum!”). In addition, the
Licensee is a wholly-owned subsidiary of the Assignee, and an indirect wholly-owned subsidiary
of Yum!. To streamline operations within the Yum! organization and reduce administrative
costs, the Licensee will merge itself into the Assignee, with the Assignee as the surviving entity.
Upon the effective date of merger, the Assignee will assume all assets and obligations of the
Licensee including, but not limited to, the FCC licenses held by the Licensee. An illustration of
the proposed transaction is provided in Exhibit E. Because ultimate control will continue to be
vested in Yum! Following this transaction, it is pro forma.

The public interest will be served by FCC consent to this pro forma assignment because it will
allow the continued use of the licensed satellite radio facilities in support of the company’s
business operations.
