                                              Control

        Criswell College (“Criswell”) is the non-profit licensee of fixed earth station E050379
(the “Station”) and the proposed assignor in this transaction. It is effectively a subsidiary of a
separate non-profit organization, First Baptist Church (“FBC”). For various business reasons,
FBC and Criswell have decided to become separate and independent organizations, while FBC
will retain control of the Station through a newly formed non-profit membership entity, First
Dallas Media, Inc. (“First Dallas”), the proposed assignee. FBC is a Texas non-profit
organization with U.S. citizenship and an address of 1707 San Jacinto, Dallas, Texas 75201.

        In connection with the transaction, the fixed earth station assets and license will be
assigned to and operated by First Dallas, with the purpose of continuing the station’s educational
programming and furthering the ministries of First Dallas’s members. First Dallas will have two
members: FBC (the Class A member) and Criswell (the Class B member). Under First Dallas's
articles and bylaws, FBC, acting through its Fellowship of Deacons, will be the sole Class A
member, with the exclusive right to elect, remove and replace (with or without cause) the
directors of First Dallas. In contrast, Criswell, acting through its Board of Trustees, will have the
right to vote on major actions consistent with protections generally afforded to minority
investors, e.g., amendment of articles and bylaws, sale or encumbrance of First Dallas’s assets,
assumption of substantial debt, mergers or dissolutions of First Dallas, and changes to Criswell's
obligations as the Class B member.

       There are no FBC intermediate subsidiaries or parties to disclose. There are also no
stockholders as FBC and First Dallas are both non-profit, non-stock corporations.
