Exhibit F File # SES-ASG-20080801-01011 Gems TV USA, (the Assignee), has purchased a satellite uplink vehicle with the antenna call sign of E020037 from New England Satellite Service, (the Assignor). The intent was two-fold. First, to provide a back up signal path to the current land based portion of Gems TV’s distribution network. Second, the mobile uplink capabilities of the satellite gives Gems TV the ability to provide remote coverage of events that are of interest to our viewers. Gems TV currently provides programming to 50 million households through Direct TV, Echostar, and many cable operators across the U.S. Since its beginning, Gems TV has made education part of the daily programming, either through the discussion of our live hosts or through pre-recorded documentary programs. Gems TV receives thousands of direct responses and inquiries from viewers each day through telephone calls and email. Gems TV employs between 200-300 people in Reno, Nevada and is probably the largest Television industry employer in northern Nevada. The assignment of this license will insure un-interrupted employment for our staff as well as continuous and more interesting programming service to our viewers across the United States.
