Re: Notice of De-Orbit for Sirius FM-1 Space Station (Call Sign S2105),
                                 File No. SAT-MOD-20091119-00123

                         Dear Mr. Albuquerque:

Satellite CD Radio LLC, a wholly-owned subsidiary of Sirius XM Radio Inc.
(together “Sirius XM”), by counsel and pursuant to Paragraph 1 of the authority
granted to Sirius XM on February 11, 2010,1 hereby notifies the Commission that
end-of-life maneuvers have been completed for the Sirius FM-1 non-geostationary
satellite orbit space station as of November 16, 2016.

The orbital altitude of Sirius FM-1 is now 31,160 km with an argument of perigee
of 181.7 degrees. The inclination of Sirius FM-1 is 59.6 degrees.

Sirius XM achieved full circularization of the disposal orbit for its Sirius FM-1
satellite. The disposal orbit of Sirius FM-1 is predicted to maintain excellent
stability for the analysis period of 100 years, consistent with Sirius XM’s de-orbit
analysis previously provided to the FCC.2

All of the satellites in Sirius XM’s non-geostationary orbit constellation (FM-1,
FM-2, and FM-3) licensed under call sign S2105 have now been placed into
disposal orbit. Sirius XM requests that the Commission terminate the license
account for call sign S2105 in the IBFS database.

Application for Modification to Extend License Term and De-Orbit the FM-1, FM-2, and

                         2
Application for Modification to Extend License Term and De-Orbit the FM-1, FM-2, and
                         FM-3 Satellites, Attachment A at 3-7, File No. SAT-MOD-20091119-00123 (filed Nov. 19, 2009).
