                                 File No. SAT-MOD-20091119-00123

                         Dear Mr. Albuquerque:

Satellite CD Radio, Inc., a wholly-owned subsidiary of Sirius XM Radio Inc.
(together “Sirius XM”), by counsel and pursuant to Paragraph 1 of the authority
granted to Sirius XM on February 11, 2010,1 hereby notifies the Commission that
end-of-life maneuvers have been completed for the Sirius FM-3 non-geostationary
satellite orbit space station as of August 17, 2016.

The orbital altitude of Sirius FM-3 is now 31,029 km with an argument of perigee
of 22.33 degrees. The inclination of Sirius FM-3 is 62.47 degrees.

Sirius XM achieved full circularization of the disposal orbit for its Sirius FM-3
satellite. The disposal orbit of Sirius FM-3 is predicted to maintain excellent
stability for the analysis period of 100 years, consistent with Sirius XM’s de-orbit
analysis previously provided to the FCC.2

Should you have any questions or concerns, please do not hesitate to contact the
                         undersigned.

                         Respectfully submitted,

                         /s/ Jennifer D. Hindin

                         Jennifer D. Hindin
                         Counsel for Sirius XM
