Re: Notice of De-Orbit for Sirius FM-2 Space Station (Call Sign S2105),
                                 File No. SAT-MOD-20091119-00123

                         Dear Mr. Albuquerque:

Satellite CD Radio, Inc., a wholly-owned subsidiary of Sirius XM Radio Inc.
(together “Sirius XM”), by counsel and pursuant to Paragraph 1 of the authority
granted to Sirius XM on February 11, 2010,1 hereby notifies the Commission that
end-of-life maneuvers have been completed for the Sirius FM-2 non-geostationary
satellite orbit space station as of August 3, 2016.

The orbital altitude of Sirius FM-2 is now 30,252 km with an argument of perigee
of 261.7 degrees. The inclination of Sirius FM-2 is 64.6 degrees.

Sirius XM achieved nearly full circularization of the disposal orbit for its Sirius
FM-2 satellite. A series of deorbit maneuvers lowered the apogee altitude to within
813 km of the perigee altitude. The final apogee radius is 30,659 km and the final
perigee radius is 29,846 km. The disposal orbit of Sirius FM-2 is predicted to
maintain excellent stability for the analysis period of 100 years, consistent with
Sirius XM’s de-orbit analysis previously provided to the FCC.2

Should you have any questions or concerns, please do not hesitate to contact the
                         undersigned.
