     1.          PanAmSat Licensee Corp.'~application, SAT-MOD-20040405-00079, IS
GRANTED and PanAmSat Licensee Corp.'~authorization to operate its GALAXY 3C
satellite call-sign S238 1 currently assigned to the 95.O"W.L. orbital location is modified
to reflect operations at 95.05" W.L. with *0.05" longitudinal station-keeping, in the
frequency bands 3700 - 4200 MHz, 5925-6425 MHz, 6425-6675 MHz, 11.45- 11.7 GHz,
11.7 - 12.2 GHz, 13.75 - 14.0 GHz and 14.0 - 14.5 GHz, in accordance with the terms,
conditions, and technical specifications set forth in its application, this Attachment and
the Commission's Rules.

    2.          PanAmSat Licensee Corp. shall prepare the necessary information, as may
be required, for submission to the ITU to initiate and complete the advance publication,
international coordination, due diligence, and notification process of this space station, in
accordance with the ITU Radio Regulations. PanAmSat Licensee Corp. shall be held
responsible for all cost recovery fees associated with these ITU filings. We also note that
no protection from interference caused by radio stations authorized by other
administrations is guaranteed unless coordination and notification procedures are timely
completed or, with respect to individual administrations, by successfully completing
coordination agreements. Any radio station authorization for which coordination has not
been completed may be subject to additional terms and conditions as required to effect
coordination of the frequency assignments of other administrations. See 47 C.F.R. 0
25.1 1l(b).

    3.         Action on this application is without prejudice to possible enforcement
action in connection with operations of the GALAXY 3C satellite prior to this action.

    4.          PanAmSat Licensee Corp. is afforded thirty days from the date of release
of this grant and authorization to decline this authorization as conditioned. Failure to
respond within this period will constitute formal acceptance of the authorization as
conditioned.

    5.          This Grantis issued pursuant to Section 0.261 of the Commission's rules
on delegated authority, 47 C.F.R. 0 0.261, and is effective upon release. Petitions for
reconsideration under Section 1.106 or applications for review under Section 1.115 of the
Commission's rules, 47 C.F.R. $8 1.106, 1.115, may be filed within 30 days of the date of
the public notice indicating that this action was taken.

                                    Enpineerinp Statement


PanAmSat Licensee Corp. ("PanAmSat") is currently licensed to operate
Galaxy 3C' from 95" WL utilizing the 5925 - 6675 MHz, 3700 - 4200 MHz,
13750 - 14500, 11450 - 11700 and 11700 - 12200 bands (See FCC File
Nos.: SAT-LOA-199908 12-00082, SAT-AMD-20020111 and SAT-WAV-
20020321) to provide service to various regions in North and South
America. In this filing, PanAmSat proposes to modify its license to specify
operation of Galaxy 3C from 95.05" WL instead of 95" WL.

To account for this change in orbital location, this engineering statement
updates the following technical information that PanAmSat previously had
submitted: (1) gain contours, (2) PFD levels and (3) link budget analysis.

Gain Contours

The coverage patterns of Galaxy 3C operating from the proposed 95.05" WL
orbital location will be the same as those specified in the current license.
Changing the proposed orbital location from 95" WL to 95.05" WL will
produce no visible change in the gain contours. Accordingly, no new beam
gain contours are being submitted.

Power Flux Density Levels

The power flux density ("PFD") level at the Earth's surface produced by
Galaxy 3C operating from the proposed 95.05" WL orbital location will be
the same as those corresponding to operation from 95" WL and are presented
in Exhibit 1 for the sake of.completeness.

Link Budgets and Interference Analysis

The operational co-frequency satellites nearest to the 95.05" WL orbital
location are Intelsat Americas 5, located at 97" WL, and Intelsat Americas 6,
located at 93" WL. The Commission has consented to an assignment of the
licenses for Intelsat Americas 5 and Intelsat Americas 6 from Loral to
Intelsat. An earth station receiving transmissions from Intelsat Americas 5

and having antenna off-axis gain characteristics that are in compliance with
the Section 25.209(a)(l) of the FCC Rules, would have an off-axis antenna
gain of 21.5 dBi towards Galaxy 3C located at 95' WL. With Galaxy 3C
operating from the proposed orbital location of 95.05' WL, the off-axis gain
of the receiving earth station would be 21.7 dBi. Hence, there would be a
resulting increase in the off-axis gain of the earth station antenna of 0.2 dB
in the direction of Galaxy 3C. Such a small increase in the off-axis gain will
not change in any meaningful way the existing interference environment of
Intelsat Americas 5 receiving earth stations from the proposed operation of
Galaxy 3C at 95.05' WL. Similarly, interference from Intelsat Americas 5
transmissions into Galaxy 3C receiving earth stations would be substantially
unchanged (0.2 dB variation).

With respect to an earth station receiving transmissions from Intelsat
Americas 6, the off-axis antenna gain of the receiving antenna would be
reduced from 21.5 dBi to 21.2 dBi - a decrease of 0.3 dB. Such a small
decrease in the off-axis gain of Intelsat Americas 6 receive earth station will
not change in any meaningful way the existing interference environment of
Intelsat Americas 6 receiving earth stations from the proposed operation of
Galaxy 3C at 95.05' WL. Similarly, interference from Intelsat Americas 6
transmissions into Galaxy 3C receiving earth stations would be substantially
unchanged (0.3 dB variation).

Given that the proposed operation of Galaxy 3C would not result in any
significant change to the existing interference environment as it pertains to
Galaxy 3C, Intelsat Americas 5 and Intelsat Americas 6, no link budget
analysis is provided herein. In the unlikely event that Galaxy 3C operating
from 95.05' WL were to adversely affect the transmissions from Intelsat
Americas 5 and/or Lntelsat Americas 6, PanAmSat would coordinate with
Intelsat to reach a mutually acceptable solution.

Schedule S Submission

For reasons that are discussed above, the proposed operation of Galaxy 3C
from 95.05' WL would not result in any material changes to the operating
characteristics of the satellite or the existing interference environment. The
information requested in Schedule S, therefore, is duplicative of the
information that PanAmSat already has provided. Based on this fact and on
discussions with the staff of the Satellite Division, PanAmSat is not
including a Schedule S with its modification application. However,

Division determines it to be necessary.

                      Regarding Cancelled Authorizations


        PanAmSat Licensee Corp. (”PanAmSat”) never has had an FCC license
”revoked.” However, on June 26,2000, the International Bureau ”cancelled” two
Ka-band satellite authorizations issued to PanAmSat, based on the Bureau‘s
finding that PanAmSat LC had not satisfied applicable construction milestones.
See In re PanAmSat Licensee Corp., Memorandum Opinion and Order, DA 00-1266,
15 FCC Rcd 18720 (IB 2000). In that same order, the Bureau denied related
applications to modify the cancelled authorizations. PanAmSat filed an
application for review of the Bureau’s decision, which the Commission denied,
and subsequently filed an appeal with the United States Court of Appeals for the
District of Columbia Circuit, which was dismissed in January 2003 at
PanAmSat’s request. Notwithstanding the fact that the Bureau’s action does not
seem to be the kind of revocation action contemplated by question 36, PanAmSat
is herein making note of the decision in the interests of absolute candor and out
of an abundance of caution.

        In any event, the Bureau’s action with respect to PanAmSat does not
reflect on its basic qualifications, which are well-established and a matter of
public record.
