Dear Ms. Dortch:

On January 8, 2004, the undersigned counsel for TerreStar Networks, Inc. metwith John
Rogovin, General Counsel, and Linda Kinney, Associate General Counsel, to discuss the merits
of the case, as reflected in numerous previous submissions, particularly as to whether the death
penalty under the circumstances here would meet the high hurdle of due notice, however
formulated in numerous Court of Appeals decisions and by the Commission itself.

Any questions about this matter should be directed to the undersigned.

                                                                           Respectfully submitted,

                                                                           Jonathan D. Blake
                                                                           Counselfor TerreStar
