Date: 18 March 2019 BEFORE THE FEFERAL COMMUNICATIONS COMMISSION WASHINGTON DC 20554 In the Matter of Flock FZ—LLC previously known as Riva FZC RE: Application for Authorization pursuant to Section 214 of the Communications Act of 1934, as Amended, for Assignment of Assets and / or Transfer of Control APPLICATION Flock FZ—LLC ("Flock" or "Applicant"), hereby requests approval from the Federal Communications Commission ("FCC" or "Commission") pursuant to Section 214 of the Communications Act of 1934, as amended 47 U.S.C. 214, and Sections 63.04 and 63.24 of the Commission‘s rules, 47 C.F.R 63.04 and 63.24, to transfer control of Flock, From Divyank Turakhia to Bhavin Turakhia. On 30 January 2018, Bhavin Turakhia again became the ultimate beneficial owner of Flock. The ownership was transferred from Divyank Turakhia to Bhavin Turakhia by way of transfer of shares of intermediate holding company of Flock. Divyank Turakhia and Bhavin Turakhia are real brothers and are co—founders of the business. Flock is a messaging service application company incorporated under the laws of the United Arab Emirates. Flock‘s original 214 was approved on August 18, 2014 in file number ITC—214—20140128— 00033 originally under the name Talk.to FZC. The company changed its name to Riva FZC on 01 October 2014 and recently it changed the name to Flock FZ—LLC on 31 October 2018. In support of this Application, the Applicant submits the following information pursuant to Section 63.24(e) of the Commission‘s rules for both the Transferors and Transferees and the information requested in paragraphs (h) through (n) of Sections 63.18 for Applicant. Transferor Directi Web Technologies FZC — 100% owner of Riva Technologies Inc which in—turn holds Flock F—19, Business Center 1, Business Park, RAK Economic Zone, Ras Al Khaimah, United Arab Emirates. Transferee Rivze Holdings Inc—100% owned by Bhavin Turakhia 3rd Floor, J & C Building Wickhams Cay I, PO Box 362 Road Town, Tortola, British Virgin Islands
