                                            Answer to Question 11

Does any entity, directly or indirectly, own at least ten (10) percent of the equity of the assignee/transferee as
determined by successive multiplication in the manner specified in the note to Section 63.18(h) of the rules?

If you answered "Yes" to this question, provide in Attachment 1, the name, address, citizenship, and principal
businesses of each person or entity that directly or indirectly owns at least ten (10) percent of the equity of the
assignee/transferee, and the percentage of equity owned by each of those persons or entities (to the nearest one
percent).



        Prior to his death, Lee Barton was the sole ten percent (10%) or greater owner of the
stock interest in Lintel, Inc. ("Lintel"). Mr. Barton, Chief Executive Officer and Chairman of the
Board of Lintel, owned approximately nine—five percent (95%) of Lintel. Lintel, in turn, is the
one hundred percent (100%) owner of Hart Communications, Inc.

        Mr. Barton died on March 21, 2016. Notice of the involuntary transfer of control was
filed with the Commussion on April 20, 2016. The following description of the voting interest of
Lintel after Mr. Barton‘s death corrects an inadvertent error in the April 20, 2016 reporting of
such voting interest.

        Under Mr. Barton‘s estate, his ownership interest in Lintel is held by the Estate of J. Lee
Barton. Catherine Leigh Barton and James R. Daniel, Jr. are the co—executors of Mr. Barton‘s
estate. The voting of Mr. Barton‘s prior ownership will be exercised solely by Mr. Daniel rather
than as previously reported jointly and unanimously by Mr. Barton‘s appointed co—executors.
Ms. Barton and Mr. Daniel are both citizens of the United States. The primary business of Ms.
Barton is as a licensed professional counselor. The primary business of Mr. Daniel is
telecommunications management.

                                            Answer to Question 13

Provide in Attachment 1 a narrative of the means by which the proposed assignment or transfer of control will take
place. In circumstances of a substantial assignment or transfer of control pursuant to Section 63.24(e), where the
assignor seeks authority to assign only a portion of its U.S. international assets and/or customer base, please specify
whether the assignor requests authority to continue to operate under any or all of its international Section 214 File
Nos. after consummation; and, if so, please specify in Attachment 1 each File No. it seeks to retain in its own name.

        At the direction of the Commussion‘s Staff, this application is being filed as pro forma
transfer of control.                               ‘

        On March 21, 2016 Lee Barton died. Mr. Barton had been the Chief Executive Officer
and Chairman of the Board of Lintel, Inc. ("Lintel"). Hart Communications, Inc. ("HCI") is a
wholly—owned subsidiary of Lintel. Mr. Barton owned approximately ninety—five percent (95%)
of Lintel. Mr. Barton controlled Lintel. Lintel, in turn, controls HCI.

        Catherine Leigh Barton and James R. Daniel, Jr. are the co—executors of Mr. Barton‘s
estate. With Mr. Barton‘s passing and pursuant to his estate planning, the ability to vote Mr.
Barton‘s interest in Lintel immediately passed to James R. Daniel, Jr., President and an existing
Director of Lintel, and also the President of HCI. Ms. Barton is an existing Director of Lintel.
Ms. Barton and Mr. Daniel are both United States citizens.

        HCI notes that its day—to—day operations are and will continue to be managed by Mr.
Daniel. Any transfer of Mr. Barton‘s interest in HCI out of the Estate of Lee Barton will be
accomplished consistent with applicable Commussion rules regarding transfers of control.
