(“Alestra” or “Assignor”) and Axtel, S.A.B. de C.V. (ITC-T/C-20160314-00121); Notification of Pro Forma Transfer of Control of Section 214 Authority Dear Secretary Dortch: Alestra, S. de R.L. de C.V. (“Alestra” or “Assignor”) and Axtel, S.A.B. de C.V., (“Axtel” or “Assignee”) (collectively “Parties”), by undersigned counsel, hereby file this letter to respond to questions of the International Bureau staff regarding the above-referenced Notification. The Parties confirm that Alestra and not Mr. Ricardo Garcia de Quevedo is the holder of the International Section 214 being transferred to Axtel. On February 15, 2016, Alfa, S.A.B. de C.V. (“Alfa”) held 50.73% ownership interest in Axtel. Alfa directly owns 99.998% of Onexa and indirectly the remaining 0.0020% through its subsidiary Alfa Subsidiarias, S.A. de C.V. Therefore, Alfa directly and indirectly is the sole shareholder in Onexa. The effective date of the transfer where Axtel, Alestra, Alfa, and a group of stockholders holding approximately 45% of the capital stock of Assignee, agreed to exchange new shares with a ratio of 0.8027 shares for each share of Onexa was February 15, 2016. Please note that because of fluctuation in the exchange ratio and certain adjustments in the current value of each share of Axtel and Onexa, the final interest owned by Alfa in Axtel is 50.73% instead of 50.19%. Finally, at all times prior to and after the pro forma transaction, Alfa has maintained majority interest in Alestra.
