Specifically, through this correspondence, Cequel is providing additional information regarding BC Partners Holdings Limited (“BCPH”) and Canada Pension Plan Investment Board (“CPPIB”), the ultimate parents of Cequel’s existing shareholders and who will hold non- controlling indirect interests in Cequel after the closing of the proposed transaction. Exhibit A of this supplement identifies the members of the board of directors of BCPH. There are no individual shareholders with a 10% or greater ownership interest in BCPH. Neither BCPH nor any of its affiliates provide telecommunications service in the United States or holds a controlling interest in any entity that provides telecommunications service in the United States. Exhibit B identifies the members of the board of directors of CPPIB. There are no individual shareholders with a 10% or greater ownership interest in CPPIB. Neither CPPIB nor any of its affiliates provides telecommunications service in the United States or holds a controlling interest in any entity that provides telecommunications service in the United States. Finally, with respect to co-applicant Altice S.A. (“Altice”), this correspondence also confirms that no person or entity with a 10% or greater interest in Altice, nor Altice, its affiliates, or any Altice-controlled entities that would hold a 10% or greater post-close interest in the licensees, offer any domestic (U.S.) telecommunications services.
