(“Transferor”) holds international Section 214 authority to provide global or limited global resale services, as granted by the Commission in FCC File No. ITC-214-20120514-00126. In addition, Transferor holds blanket domestic Section 214

authority. See 47 C.F.R. § 63.01. Yaroslav Donchenko (“Transferee”) has not previously received authority under Section 214 of the Act. Answer to Question 13: Narrative of the means by which the proposed transfer of control will take place: On November 17, 2012, 100 percent ownership of LIGA Telecom was transferred from Mr. Dmytro Artemenko, the former 100 percent owner of LIGA Telecom, to Mr. Donchenko. For the Commission’s convenience, pre- and post-closing organization charts are attached as Exhibit A. Applicants’ failure to obtain Commission approval for the transfer of control was inadvertent. Applicants were not aware of their obligation under the Communications Act and the Commission’s rules to obtain approval for the proposed Transaction until consulting with FCC Counsel, and very much regret any inconvenience this filing may cause the Commission or its staff. By a separate filing, Applicants are requesting Special Temporary Authority (“STA”) to allow LIGA Telecom to continue providing service to customers while the Commission considers this Application. As explained in the attached Affidavit of Mr. Razvan Radu, Vice President of Carrier Relations of LIGA Telecom, after transferring ownership of LIGA Telecom to Mr. Donchenko, Mr. Artemenko severed all contacts with Mr. Donchenko and LIGA Telecom executives, and failed to respond to all requests to serve as a named party to an application seeking FCC approval to transfer control of LIGA Telecom to Mr. Donchenko. As a result, LIGA Telecom is serving as a party to this Application in place of Mr. Artemenko. The transfer of control of LIGA Telecom involved no disruption or impairment of services to customers, the facilities used to provide such services, or the rates, terms and conditions of such services. All existing contracts and procedures of LIGA Telecom remained in place after the proposed Transaction. Although the proposed Transaction resulted in a change in the control of LIGA Telecom, no assignment of authorizations, assets or customers occurred as a result of the proposed Transaction. LIGA Telecom will continue to provide service to existing customers under the same rates, terms and conditions. Accordingly, this proposed Transaction was transparent to the customers of LIGA Telecom. Answer to Question 20: Statement of how the application qualifies for streamlined processing. The Applicants respectfully request streamlined treatment of this Application pursuant to Section 63.12. This Application is eligible for streamlined treatment under Section 63.12(c)(1) and 63.12(c)(2) because the Applicants are not affiliated with a foreign carrier in a destination market or with a dominant U.S. carrier whose services Applicants may resell. See 47 C.F.R. §§ 63.12(c)(1), 63.12(c)(2).
