ATTACHMENT 1 Answers to Questions 10, 11, 12, 13, 14, 15, 16, 17 and 18 Blue Earth Valley Communications, Inc. (“Blue Earth Valley”) hereby notifies the Commission of a pro forma transfer of control of the International Section 214 authorizations for global resale of switched services held by Indianhead Communications Corporation (“Indianhead”; File No. ITC-214-19970919-00565, granted November 14, 1997) and by Cannon Communications Corporation (“Cannon”; File No. ITC-214-19970326-00173, granted May 15, 1997) that took place on July 1, 2013. The pro forma transaction consisted of the insertion of a new wholly- owned subsidiary, Rural Communications Holding Corporation (“RCHC”) between Blue Earth Valley and BCS Holdings, LLC (“BCS”), the wholly-owned subsidiary that directly owns Indianhead and Cannon. There was no change in the ultimate ownership and control of Indianhead and Cannon by Blue Earth Valley and its shareholders. Answer to Question 12 Neither Indianhead nor Cannon nor Blue Earth Valley nor RCHC nor BCS has any interlocking directorates with a foreign carrier. Answer to Question 13 The reported pro forma transaction entailed the insertion of RCHC, a new intermediate subsidiary and holding company, between Blue Earth Valley and BCS. Blue Earth Valley and its shareholders retain ultimate 100 percent control over Indianhead and Cannon (the International Section 214 authorization holders), while BCS retains direct 100 percent control of Indianhead and Cannon.
