2) Applicant has previously received authority under Section 214 of the Act, further described as follows: a) Applicant was granted authority to operate its domestic satellite earth station on a common carrier basis and to lease and operate a satellite transponder for a provision of its video service within the contiguous United States and Hawaii. The Commission’s approval is stated in File No. ITC-214-19800919-00001, effective December 30, 1980. b) Applicant was granted Section 214 authority to establish channels of communication to provide trans-border services between the United States and Canada and Mexico, and from the United States to Latin American/Caribbean locations, and to provide service between the United States and all countries, the PAS satellite system as authorized to serve. The Commission’s approval is stated in File No. ITC-214- 19910313-0004, effective May 28, 1991. c) The Commission granted a transfer of control of U.S. Satellite Corporation to Albertson’s, Inc. pursuant to ITC-TC-19990324-00276, on June 18, 1999 with respect to authority under Section 214 of the Act. d) The Commission granted a transfer of control of U.S. Satellite Corporation to New Albertson’s, Inc. pursuant to Application Submission ID# IB2006000561, filed on March 10, 2006 with respect to authority under Section 214 of the Act. Answer to Question 13 (narrative of pro forma transfer of control) The instant notice of the pro forma transfer of control of Section 214 authority pursuant to the Commission’s rules under 47 C.F.R. § 63.24 is part of a larger transaction involving the corporate restructuring of SUPERVALU Inc.; its current wholly owned subsidiary, New Albertson’s, Inc.; and U.S. Satellite Corporation—a current wholly owned subsidiary of New Albertson’s, Inc. The transfer officially occurred on February 27, 2013 and has resulted in U.S. Satellite Corporation becoming a direct, wholly owned subsidiary of the ultimate parent, SUPERVALU Inc. SUPERVALU Inc. is a publicly held and traded corporation. The purpose of this application is to notify the Commission of the pro forma transfer of control of U.S. Satellite Corporation, and its 214 authorizations, from New Albertson's, Inc. to SUPERVALU Inc., which, as the ultimate parent of both entities, is the actual controlling party both before and after the transfer. Pursuant to FCC policy, the circumstances of this pro forma transfer of control deem the transfer presumptively in the public interest. The licenses and authorizations currently held by New Albertson’s, Inc.’s relevant subsidiary U.S. Satellite Corporation are Point-to-Point Microwave Common Carrier Licenses, C-band Transmit and Receive Fixed Earth Licenses, VSAT Networks, and Section 214 Authorizations. The International Bureau granted authority for the pro forma transfer of the applicable earth station and VSAT licenses on January 29, 2013 pursuant to File Nos. SES-T/C- 20130124-00093 and SES-T/C-20130124-00094. A diagram illustrating the corporate restructuring and a list of associated licenses held by U.S. Satellite Corporation are attached hereto.
