(“Transferor”) and Intermedia Holdings, Inc., (“Transferee”) for Grant of Authority Pursuant to Section 214 of the Act Dear Ms. Dortch: On behalf of Intermedia Holdings, Inc. (“Intermedia”), and pursuant to staff request, this letter clarifies that Intermedia is affiliated with Astound Broadband LLC, (“Astound”). Astound is a Washington limited liability company, and is owned by WaveDivision Holdings, LLC (a Delaware limited liability company), which is owned by OH WDH Holdco, LLC, a Delaware limited liability company. Four affiliates of Oak Hill Capital Partners have ownership interests in OH WDH Holdco, LLC: Oak Hill Capital Management Partners III, L.P., Oak Hill Capital Partners III, L.P., Oak Hill Capital Partners III (AIV I), L.P. and Oak Hill Capital Partners III (AIV II), L.P. (see DA 12-1090). These entities collectively own more than fifty percent (50%) of OakHill Holdco, and are each ultimately controlled by OHCP MGP III, Ltd. As set forth in the above-referenced application, OHCP MGP III, Ltd. also indirectly controls Intermedia through Oak Hill Capital Partners III, L.P., and Oak Hill Capital Management Partners III, L.P. As such, Intermedia would become “affiliated” with Astound as that term is defined in 47 C.F.R. § 63.04. This letter is being filed via ECFS and IBFS in the above-referenced docket numbers.
