                       The following application was filed pursuant to section 63.03 of the Commission‘s rules
             requesting approval to transfer control of SJI, LLC ("SJT"), the parent company of Lafourche Telephone
             Company, LLC ("Lateleo") and SJI Networks, LLC d/b/a Latelco Long Distance ("Networks"), to
             Boston Ventures Limited Partnership VII ("Boston Ventures"). SJI, Latelco, and Networks are limited
             liability companies organized under the laws of the state of Louisiana. Latelco is a rural incumbent local
             exchange carrier ("LEC") providing local exchange and exchange access service in the exchanges of
             Larose, Grand Isle, Golden Meadow, Leeville, and Galliano, Louisiana. Networks provides interstate
             long distance services to residents of Latelco‘s service area.‘ Boston Ventures, a Delaware limited
             partnership, is a private equity firm that controls En—Touch Systems, Inc., the parent company of ETS
             Telephone Company, Inc., which provides competitive telecommunications services in Houston, Texas."
             The following U.S.—based entities hold 10 percent or moreofthe equity of Boston Ventures or hold
             general partnership interests: Hartford Financial Services Group, Inc. (11%); State of Connecticut
             RetiremeSn‘t Plans and Trust Funds (20%); Boston Ventures Company VII, LLC (2% and general
             partner).

             j        47 C.F.R § 63.03; see 47 U.S.C. § 214. Applicants are also filing applications for the transfer of control
             associated with authorization for international services and radio licenses. Any action on this domestic section 214
             application is without prejudice to Commission action on other related, pending applications.

                      Applicants state that Boston Ventures has a related fund, Boston Ventures Limited Partnership V, that
             owns a significant, but non—controlling interest in Integra Telecom, Inc., which provides competitive
             telecommunications services in Arizona, California, Idaho, Minnesota, North Dakota, Oregon, Utah, and
             Washington. Applicants state that their relevant service territories neither overlap nor are adjacent.

             3        The managing directors who have a 10 percent or greater interest in the general partner are U.S. citizens,
             with the exception of Anthony J. Bolland (United Kingdom citizenship), and Vikrant Raina, (India citizenship).
             Applicants state that, pursuant to the general partner agreement, non—U.S. citizens may not participate in regulated
             communications enterprises in which the general partner or Boston Ventures may invest.


        Applicants state that the proposed transaction will be accomplished through the sale of the
membership interests of the current owners of SJI to SJI Holdings, LLC, a Delaware limited liability
company created for the transaction, or to SJI, itself, and that following the sale, SJI will be a wholly
owned subsidiary of SJI Holdings, LLC. Latelco and Networks will be wholly—owned subsidiaries of SJI
and continue their current operations. Applicants assert that the proposed transactionis entitled to
presumptive streamlined treatment under section 63.03(b)(2)(iii) of the Commission‘s rules and that a
grant of the application will serve the public interest, convenience, and necessity.*

        Application Filed for the Transfer of Control of SJI, LLC, Lafourche Telephone
        Company, LLC and SJI Networks, LLC d/b/a Latelco Long Distance to Boston Ventures
        Limited Partnership VII, WC Docket No. 07—202 (filed Sept. 11, 2007).

GENERAL INFORMATION

         The transfer of control identified herein has been found, upon initial review, to be acceptable for
filing as a streamlined application. The Commission reserves theright to return any transfer of control
applicationif, upon further examination, it is determined to be defective and not in conformance with the
Commission‘s rules and policies. Pursuant to section 63.03(@a) ofthe Commission‘s rules, 47 CFR §
63.03(a), interested parties may file comments on or before October 3, 2007 and reply comments on or
before October 10, 2007. Unless otherwise notified by the Commission, Applicants are permitted to
transfer control on the 31° day after the date of this notice." Comments may be filed using: (1) the
Commission‘s Electronic Comment Filing System (ECFS), (2) the Federal Government‘s eRulemaking
Portal, or (3) by filing paper copies. See Electronic Filing ofDocuments in Rulemaking Proceedings, 63
FR 24121 (1998).
