| Description of Application | Application for consent to transfer control of the international section 214 authorization, ITC-214-19931007-00183, held by Quisqueyana, Inc., a company 100% owned by Ernesto J. Armenteros, a citizen of the Dominican Republic. Pursuant to an agreement, 100% of the stock of Quisqueyana, Inc. will be transferred to a newly formed Limited Partnership, Quisqueyana Holdings LP (QHLP), owned by three Cayman Islands corporations, GHB, Inc., ACH International, Inc. and SFPA Holdings, Inc. Ernesto J. Armenteros will own 100% of GHB, Inc. which, in turn, will hold a 69% limited partner interest in QHLP. Ernesto E. Armenteros, a Canadian citizen, will own 100% of ACH International, Inc. which, in turn, will hold a 30% limited partnership interest in QHLP. The remaining 1% of the equity in QHLP will be held by SFPA Holdings, Inc. as a sole general partner interest, resulting in Ernesto E. Armenteros having de jure control of QHLP by virtue of owning 100% of the equity in SFPA Holdings, Inc. |
