control of AIC, a compar y that plans to prc vide interns tional servic es as a non—dominant common

carrier pursuant to its international Section 214 authorization, to YZK.

       As described below, Y2K will acquire ultimate control ofAIC through a transaction whereby

Y2K will acquire AIC (Asia Pacific) Limited, AIC‘s parent company, and its subsidiaries, through

an exchange of shares.    Following consummation of the transaction, AIC will be an indirect

subsidiary of Y2K. Although AIC will have a new ultimate corporate parent, it will not change its

plans to provide services pursuant to its authority granted by this Commission. Because AIC has


not yet commenced service, the proposed transactior. has 10 efiect to              sxisting service or

customers.

00521 (1997). AIC recently acqquired certain non—dominant fcreign sarrie:          iations through th«:

licensing ofits affiliates 11 othecoun ries. AIC has sepiirately filed a fore:     (liation notice with

respect to these aff liatio:is pursuant :o Section 63.11(t)) of the Co:nmiss       Rules, 47 C F.R. {

        YZK is a British Virgin Islands investment company vith oi fices i         g Kong. Y2.¢ is an

investment company and does not conduct business other than through its subsidiaries. Y2K owns

AIC Asia International Services Corp. ("AIC Asia"), a Canadian company that holds a Class A

license granted by Canadian Radio—Television Telecommunications Commission ("CRTC") to own

and operate international facilities in Canada. AIC Asia, in turn, owns three Canadian subsidiaries:

        o         AIC Asia International Services (Ontario) Corp. provides services in Ontario
                  under a Class B license from the CRTC.          The Class B licenses authorizes the
                  company to resell international services;

III.    ;)ESC RIPIION DF TIE TRANSACTON

        AIC aid Y2K have determined that they will rsalize significant financial an 1 mar ceting

efficiencies by esta>lishinig AIC as an indirect s ibsidiary. Specifically, Y2K will iequite 10C

percent of the stock of AIC‘s pirent company, AI C (As a Pacific) Limited.

        Although the proposed transaction will transfer ultimate ownership and control of AIC to

Y2K, the transaction will not involve a change in the manner in which AIC proposes to provide

service to its customers.      The merger will not change AIC‘s plan to provide high quality

telecommunications services to customers pursuant to its Section 214 authorization. Because AIC

has not yet commenced U.S. services, the transaction will not cause inconvenience or confilsion to

any customer nor otherwise have a negative impact on the operations of AIC.
