                        NOTIFICATION OF PRO FORMA ASSIGNMENT OF
                        INTERNATIONAL SECTION 214 AUTHORIZATION

        Pursuant to Section 63.24(f) of the Federal Communications Commission’s
(“Commission’s”) rules, this filing notifies the Commission of the pro forma assignment of an
international Section 214 authorization controlled by Altice USA, Inc. (“Altice USA”).
Specifically, on April 16, 2019, Altice USA’s wholly-owned subsidiary Cebridge Telecom
Texas, L.P. (“Cebridge TX”) assigned its international Section 214 authorization to its 100%
owner and indirect parent company CSC Holdings, LLC (“CSC”). Cebridge TX is a limited
partnership 99% owned by Cebridge Telecom Limited, LLC (“Cebridge Limited”) and 1%
owned by Cebridge Telecom General, LLC (“Cebridge General”). Both Cebridge Limited and
Cebridge General are wholly owned indirect subsidiaries of Altice USA. CSC is also an indirect
wholly-owned subsidiary of Altice USA. As the Commission has previously stated, assignment
“from a corporation to a wholly owned direct or indirect subsidiary thereof or vice versa,” or that
otherwise involves no substantial change in beneficial ownership, is treated as presumptively pro
forma. 1

       Following the assignment of the international Section 214 authorization, CSC’s wholly-
owned direct subsidiaries Cebridge TX, CSC Wireless, LLC (“CSC Wireless”), and CSC
Wireless’s direct subsidiary (CSC’s wholly owned indirect subsidiary) CSC Wireless NY, LLC
(“CSC Wireless NY”) will offer international services pursuant to CSC’s authorization. CSC
Wireless and CSC Wireless NY have not yet commenced offering services.

       Altice USA provides the following information as required by Section 63.18 and
63.24(f)(2) and of the Commission’s Rules, 47 C.F.R. §§ 63.18, 63.24(f)(2):

        Altice USA does not directly hold any international Section 214 authority. Altice USA
indirectly wholly owns and controls the following holders of international Section 214
authorizations:

   •    Cebridge Telecom TX, L.P., a Delaware limited liability company, holds the following
        international Section 214 authorization subject to this pro forma assignment: ITC-214-
        20060330-00173

   •    Cebridge Telecom Limited, LLC, a Delaware limited liability company, holds the
        following international Section 214 authorization not subject to this pro forma assignment:
        ITC-214-20051216-00526

   •    Cablevision Lightpath Inc., a Delaware limited liability company and fully-owned indirect
        subsidiary of Altice USA, holds the following international Section 214 authorization not
        subject to this pro forma assignment: ITC-214-19940128-00025.

        This filing notifies the Commission pursuant to Section 63.24(f) of the Commission’s rules
of the pro forma assignment of the international Section 214 authorization held by Cebridge
Telecom TX, L.P. (“Cebridge TX”), and indirectly controlled by Altice USA. On April 16, 2019,
Altice USA’s wholly-owned subsidiary Cebridge TX assigned its international Section 214
authorization ITC-214-20060330-00173 to Cebridge TX’s indirect parent, CSC Holdings LLC.
Ultimate ownership of the Section 214 authorization holder remains unchanged and the structure
of the Altice USA subsidiaries, including both Cebridge TX and CSC Holdings LLC, also remains
the same post-transaction. This assignment will rationalize Altice USA’s administrative and
regulatory structure in light of its recent pro forma reorganizations and will allow wholly-owned
subsidiaries of CSC Holdings LLC to provide international telecommunications services under
derivative authority pursuant to Section 63.21(h).

        The Commission has stated that, in situations “where no substantial change of control will
result from the transfer or assignment, grant of the application is deemed presumptively in the
public interest.” 2 The assignment proposed herein is pro forma because it involves the assignment
of an authorization from one wholly-owned subsidiary of Altice USA to another. Altice USA
certifies that the transaction has not resulted in a substantial change in ultimate control of the
authorizations that are the subject of this application.
