Notification of the Pro Forma Assignment of the International Section 214 Authorization of
                         MTS Inc. to MTS Allstream Holdings, Inc.

        Pursuant to Section 63.24(f) of the Commission’s rules,1 MTS Allstream Holdings, Inc.
(“Allstream Holdings”) and MTS Inc. (f/k/a MTS Allstream Inc.) (“MTS”)2 notify the
Commission that the international Section 214 authorization (File No. ITC-214-19981207-
00852) of MTS was assigned to its parent company Allstream Holdings on January 1, 2012.
Because the assignment did not result in a change in ultimate control of the international Section
214 authorization, the assignment is properly classified as pro forma.

Prior International Section 214 Authorizations

       Allstream Holdings holds no international Section 214 authorizations other than the
authorization that is the subject of this notification.


Answer to Question 11:

        MTS is a direct, wholly-owned subsidiary of Allstream Holdings, which is in turn a
direct, wholly-owned subsidiary of Manitoba Telecom Services Inc. (“Manitoba Telecom”).
Manitoba Telecom’s address is 333 Main Street, P.O. Box 6666, Winnipeg, Manitoba, Canada,
R3C 3V6. Manitoba Telecom’s principal business is the provision of telecommunications
services. Manitoba Telecom is a publicly-traded holding company in which no person or entity
holds a ten percent or greater direct or indirect ownership interest.

Answer to Question 12:

        Allstream Holdings has no interlocking directorates with other foreign carriers (except
for those who also may be officers or directors of Manitoba Telecom or its Canadian operating
subsidiaries).


Answer to Question 13:

        Manitoba Telecom undertook an internal corporate reorganization on January 1, 2012.
As part of the reorganization, MTS assigned the subject international Section 214 authorization
to Allstream Holdings. As noted above, MTS and Allstream Holdings are wholly-owned
subsidiaries of Manitoba Telecom. Accordingly, the assignment did not result in a change in
ultimate control of the authorization, which continues to reside with Manitoba Telecom. The
assignment is therefore properly classified as a pro forma transaction.
