                                           ATTACHMENT 1

       Pursuant to Section 214 of the Communications Act of 1934, as amended (the “Act”), 47

U.S.C. § 214, and Section 63.24 of the Commission’s rules, 47 C.F.R. § 63.24, Centennial

Communications Corp. (“Centennial” or “Assignor”) hereby requests Commission consent to the

partial assignment of certain customer relationships related to the provision of international

services currently being provided by Centennial pursuant to its international Section 214

authorizations, to Texas 10, LLC (“TX-10” or “Assignee”). Centennial will retain the Section

214 authorizations subject to this transaction after the closing and by this application does not

seek to assign them.

under Section 214 of the Act: ITC-214-20000817-00545 and ITC-214-19970923-00579.

Centennial will retain these authorizations following the consummation of the proposed

transaction, and by this application does not seek to assign them.

       The Assignee currently holds the following international authority under Section 214 of

the Act: ITC-214-20071219-00538.

               Answer to Question 11 – Section 63.18(h) (Assignee)

       TX-10 is a Delaware limited liability company and its principal business is

communications. Its address is 170 S. Warner Road, Suite 104, Wayne, PA 19087.

       TX-10 Holdco, Inc. directly holds approximately 75.3% of the Class A Units of Texas

10, LLC. TX-10 Holdco, Inc. is a Delaware corporation and its principal business is

communications. Its address is 170 S. Warner Road, Suite 104, Wayne, PA 19087.

       Alta Communications IX, L.P., owns approximately 95% of TX-10 Holdco, Inc., which

in turn, holds approximately 75.3 of the Class A Units of TX-10 Holdco, LLC, which in turn,

owns 100% of Assignee. Alta Communications IX, L.P. is a Massachusetts limited partnership

and its principal business is communications. Its address is as follows: c/o Alta

Communications, Inc., 200 Clarendon Street, 51st Floor, Boston, MA 02116.

       Alta Communications IX Managers Limited Partnership is the general partner of Alta

Communications IX, L.P., which in turn, owns approximately 95% of TX-10 Holdco, Inc.,

which in turn, holds approximately 75.3% of the Class A Units of Assignee. Alta

Communications IX Managers Limited Partnership is a Massachusetts limited partnership and its

       Alta Communications IX Managers, LLC is the general partner of Alta Communications

approximately 75.3% of the Class A Units of Assignee. Alta Communications IX Managers,

         Timothy L. Dibble and Brian W. McNeill are the managing members of Alta

Communications IX, L.P., which in turn, owns approximately 95% of TX-10 Holdco, Inc.,

which in turn, holds approximately 75.3% of the Class A Units of Assignee. Both these

                Answer to Question 20

         This application is eligible for streamlined processing pursuant to Section 63.12 of the

Commission’s rules, 47 C.F.R. § 63.12. First, neither the Assignee nor any entity that holds a 10

percent or greater interest in Assignee is affiliated with a foreign carrier in a destination market.

See 47 C.F.R. § 63.12(c)(1). Moreover, following consummation of the proposed transaction,

neither the Assignee nor any entity that holds a 10 percent or greater interest in Assignee, will be

affiliated with any dominant U.S. carrier whose international switched or private line services the

Assignee seeks authority to resell. See id § 63.12(c)(2).
