Section 214 authorizations of its subsidiaries have been assigned to GST Telecommunications,

Inc., those subsidiaries‘ parent company, pursuant to Section 63.24(b) of the Commission‘s

Rules, 47 C.F.R. § 63.24(b). As a result of that pro forma assignment, the instant application is

hereby amended to specify that GST Telecommunications, Inc. is the assignor of the Section 214

authorizations to be acquired by Time Warner Telecom. None of the information contained in

the instant application, including the information required by Section 63.18 of the Commission‘s

Rules (see Section IV of said application), is changed as a result of the aforementioned pro forma

assignment of the GST subsidiaries‘ Section 214 authorizations to GST Telecommunications,

Inc.

       GST Telecommunications, Inc. and its subsidiaries ("GST" or "Assignor‘"‘) and Time

Warner Telecom Inc. ("Time Warner Telecom" or "Assignee") (together, "Applicants"), by their

undersigned counsel, and pursuant to Section 214 of the Communications Act of 1934, as

amended (the "Act"), 47 U.S.C. § 214, and Section 63.18 of the Commission‘s Rules, 47 C.F.R.

§ 63.18, hereby request approval of an assignment of GST‘s Section 214 authorizations held by

GST‘s subsidiaries to Time Warner Telecom.‘       GST‘s various subsidiaries currently hold

authorizations to provide international telecommunications services pursuant to Section 214.

Time Warner Telecom currently holds Section 214 authority to provide international

telecommunications services."

         On May 17, 2000, GST Telecommunications, Inc. filed for protection under Chapter 11

ofthe U.S. Bankruptcy Laws in the U.S. Bankruptcy Court for the District of Delaware. GST

received Bankruptcy Court approval to proceed with an open bidding procedure for the auction

of substantially all of GST‘s assets.     On August 25, 2000 at the completion of the auction

process, GST appeared before the Bankruptcy Court and received approval to proceed toward a

sale of said assets to Time Warner Telecom. As discussed more fully below, this Application is

submitted pursuant to an Asset Purchase Agreement ("Agreement") under the supervision of the

U.S. Bankruptcy Laws in the U.S. Bankruptcy court for the District of Delaware. Applicants

respectfully request streamlined treatment of this application pursuant to Section 63.12 of the

Commission‘s Rules, 47 C.F.R. § 63.12. Neither GST nor Time Warner Telecomis a foreign

carrier or affiliated with a foreign carrier that possesses sufficient market power in the destination

country to adversely affect competition in the United States. Nor is either of the applipants

affiliated with a dominant U.S. carrier whose international switched or private line services it

seeksto resell. Consequently, this application is eligible for streamlined processing."

00—689, released March 27, 2000. The application seeking consent to the transfer of control of
the above—referenced Section 214 authorization has been assigned File No. ITC—T/C—2000211—
00069.

1.     Description of the Applicants

       A.      GST Telecommunications, Inc.

       GST Telecommunications, Inc. is a corporation organized under the laws of Canada with

its principal business office located at 4001 Main Street, Vancouver, Washington 98663. GST is

a publicly held, non—carrier holding company.

       GST Telecommunications, Inc. through its operating subsidiaries (together "GST") is a

facilities—based integrated communications service provider, currently offering voice, data and

Internet service throughout the Western United States. The Company offers an array of products,

including data transport, high—speed Internet access, and voice services, including local exchange

and interexchange services. The Company holds authority to provide intrastate interexchange

service in 49 states and intrastate local exchange service in 11 states pursuant to certification,

registration, or tariff requirements, or it provides service on an unregulated basis.   Several of

GST‘s subsidiaries hold Section 214 authority to provide interstate and international

telecommunications services as nondominant common carriers.*

       B.      Time Warner Telecom

       Time Warner Telecom is a Delaware corporation with its principal business office located

at 10475 Park Meadows Drive, Littleton, Colorado 80124. Time Warner Telecom is a publicly—

traded company whose largest shareholder is Time Warner Inc. Time Warner Telecom currently

provides local exchange and exchange access services as well as interexchange service. It is

authorized to provide intrastate telecommunications services in thirteen states and has requests

for authority pending in ten other states. As a holder of Section 214 authority, Time Warner

Telecom‘s qualifications are a matter of record with the Commission.

IL.     Description of the Transaction

        Time      Warner   Telecom     proposes    to    acquire   most     of the   asse   °_    GST

Telecommunications, Inc. and its subsidiaries in connection with a reorganiz                     of the

Company being overseen by the U.S. Bankruptcy Court for the District of Delaw               Among

other   things,    Time    Warner    Telecom      will   acquire   assets    associated          GST‘s

telecommunications operations, including telecommunications equipment, portio                    GST‘s

customer base, and the Federal and State certifications authorizing those operatiotr        ST and

Time Warner Telecom have executed the Asset Purchase Agreement under which ‘                Warner

Telecom will purchase substantially all of the Company‘s assets, including assets            for the

provision of international telecommunications services. That asset purchase agreen          as been

approved by the Bankruptcy Court.

        Time Warner Telecom has determined that the proposed acquisition of GS              ssets in

the bankruptcy proceeding will enable it to significantly expand its operations i;l a~      fficient

manner, thereby enhancing its competitive position andability to provide an array o1        quality

services to consumers. Although the proposed acquisition will result in a transfer of       antially

all of GST‘s assets to Time Warner Telecom, the Agreement will not involve a c              : in the

manner in which GST‘s customers will receive their telecommunications services,             will be

virtually transparent to the customers. Specifically, customers will continue to receive the high

quality, affordable telecommunications services that they presently receive. To ensure a seamless

transition and avoid customer confusion or inconvenience, the Parties are notifying customers of

this transaction and of the change in carrier.


III.    Public Interest Considerations

        The Applicants respectfully submit that consumers of GST‘s telecommunications

services will realize significant public interest benefits from Time Warner Telecom‘s acquisition

of the certificates and assets of GST. The proposed transaction will enable GST‘s customers to

continue to receive high—quality, competitively priced telecommunications services without

interruption.   By creating a more efficient and multifaceted telecommunications carrier, the

proposed transaction will expand competitive choices for U.S. telecommunications consumers.

The Applicants hope to complete the proposed acquisition as quickly as possible in order to

avoid any interruption of service or otherinconvenience to GST‘s existing customers.

      Commission‘s Exclusion List. Time Warner Telecom is not a foreign carrier or
      affiliated with a foreign carrier.

      Section is not applicable.

(m)   As described above, Time Warner Telecom presumptively qualifies for non—
      dominant treatment for the provision of all international telecommunications

      directly or indirectly from any foreign carrier where the foreign carrier possesses
      market power on the foreign end of the route and will not enter into such
      agreements in the future.

(0)   Time Warner Telecom certifies, pursuant to Sections 1.2002 through 1.2003 of
      the Commission‘s Rules (implementing the Anti—Drug Abuse Act of 1988, 21
      U.S.C. § 3301), that no party to this application is subject to a denial of Federal
      benefits pursuant to Section 5301 of the Anti—Drug Abuse Act of 1988.

(P)   Time Warner Telecom qualifies for streamlined processing pursuant to Section
      63.12 (a—b) of the Commission‘s Rules because, as set forth above in Section (1),
      Time Warner Telecom qualifies for a presumption of non—dominance under
      Section 63.10(a)(1) of the Commussion‘s Rules.


CONCLUSION

       For the reasons stated above, GST and Time Warner Telecom respectfully submit that the

public interest, convenience, and necessity would be furthered by a grant of this Application for

Assignment.
