HELIO and SK Telecom USA confirm that they will continue to honor the commitments set forth in the January 10, 2006 letter to the Executive Agencies following consummation of the proposed transaction. Applicant is corporated and located in ¥cuador. Further, applicant is 100% owned by Fondo de Solidaridad, an autonomous entity created under section 250 of Keuador Constitution. Fondo de Solidaridad also controls Andinatel which is presumed to possess telecommunication marker power in Ecuador. Applicant agrees to file the traffic reports requiredby §43.61(c) of the Commission‘s rules.
