("PTI Pacifica") ({/k/a GTE Pacifica, Inc.) have filed an application for consent to assign a Personal Communications Service license for the Guam—Northern Mariana Islands Major Trading Area (MTA 050) from BANZHI to PTI Pacifica. PTI Pacifica is wholly

owned by the Micronesian Telecommunications Corporation which, in turn, is wholly owned by Pacific Telecom Inc. The parties have informed us that they notified relevant Executive Branch entities of the assignment application on August 9, 2006. By amendment filed with the Commission on that date, the parties requested that the Commission condition grant of the assignment application on PTI Pacifica‘s compliance with the terms of the Agreement between MTC and Pacific Telecom Inc. and the U.S. Department of Justice, Federal Bureau of Investigation, U.S. Department of Defense, and U.S. Department of Homeland Security, dated October 6, 2003. The parties further amended the application on August 18, 2006 (with service provided to the Executive Branch entities) to notify the Commuission that Sumitomo Corporation (Japan) had acquired a 25% minority ownership interest in Pacific Telecom. We anticipate action on the pending assignment application in the near term.
