Section 214 Application Attachment 2 Page 1 of 3 ATTACHMENT 2 Response to Question 14 on the IBFS International Section 214 Application Information Required by 47 C.F.R. § 63.18(h): The following parties directly or indirectly own at least ten percent of the equity of Telecomunicações de São Paulo S.A. – TELESP (“TELESP” or the “Applicant”): (i) SP Telecomunicações Holding, S.A (“SP”), which holds 46.2% of Applicant’s common stock and 7.3% of Applicant’s preferred stock for a total 20.4% ownership stake. SP is incorporated in Brazil and its principal place of business is: Av. Brigadeiro Faria Lima, 3729, 10 andar parte, Sao Paulo, Brazil. SP is a subsidiary of TISA (see below) and Telefónica S.A. (see below) which own 96.5% and 3.5%, respectively, of SP’s common stock. An insignificant amount of SP’s common stock is held by individual investors. SP’s principal business is international telecommunications investments; (ii) Telefónica Internacional, S.A. (“TISA”), which holds 30.3% of Applicant’s common stock and 79.7% of Applicant’s preferred stock for a total 63.1% equity interest. TISA also owns an indirect share in Applicant via its ownership of SP. TISA is incorporated in Spain and its principal place of business is Gran Via, 28, Madrid, Spain. TISA operates Telefónica’s telecommunications businesses worldwide and is a wholly owned (100%) subsidiary of Telefónica S.A.; and (iii) Telefónica S.A. owns an indirect share of Applicant via its ownership of TISA. Telefonica S.A. is a publicly traded company incorporated in Spain, and no person or entity owns,

The principal business of Telefónica and its subsidiaries is the provision of telecommunications services. The directors of Applicant are: Fernando Abril Martorell Hernandez, Jacinto Díaz Sánchez, Manuel Luiz Ferrâo de Amorim, Antonia Viana-Baptista, Carlos Masetti Junior, Enrique Used Aznar, Félix Pablo Ivorra Cano, Javier Nadal Ariño, Fernando Xavier Ferreira, Juan Carlos Ros Brugueras, Luiz Fernando Furlan, Rosa Cullell Muniesa and Victor Goyenechea Fuentes. The following directors hold interlocking directorates on the boards of the following foreign carriers: Antonia Viana-Baptista is a director of TELESP as well as a director of Telefonica Data do Brasil Ltda. and Tele Sudeste Participações S/A. Carols Masetti Junior is a director of TELESP as well as a director of Telefonica Data do Brasil Ltda. Félix Pablo Ivorra Cano is a director of TELESP as well as a director of Tele Sudeste Participações S/A, Celeular CRT Participações S/A and Tele Leste Celular Participações S/A. Fernando Xavier Ferreira is a director of TELESP as well as a director of Telefonica Data do Brasil Ltda., Tele Sudeste Participações S/A, Celeular CRT Participações S/A, Tele Leste Celular Participações S/A and SP Telecomunicações Holding S/A. Jacinto Diaz Sanchez is a director of TELESP as well as a director of SP Telecomunicações Holding S/A.
