                          Dear Ms. Dortch:

                          This letter notifies the Federal Communications Commission (“FCC”) of an internal
                          corporate restructuring involving indirect wholly owned subsidiaries of Verizon
                          Communications Inc. (“Verizon”) that occurred on November 30, 2011 and that
                          affects the above-captioned licensee and FCC authorizations. Out of an abundance
                          of caution, Cellco Partnership d/b/a Verizon Wireless (“Verizon Wireless”) is filing
                          this letter to notify the Commission of this pro forma transfer to the extent it affects
                          its 40 percent non-managing general partner interest in Illinois Valley Cellular RSA
                          2-II Partnership (the “Partnership”). Verizon Wireless previously transferred its
                          voting rights associated with this general partnership interest to a voting trust.1

                          The internal corporate restructuring that occurred involved a pro forma transfer of
                          control of Bell Atlantic Mobile Systems, Inc. (“BAMS Inc.”) and its conversion to a
                          limited liability company (Bell Atlantic Mobile Systems, LLC, or “BAMS LLC”).
                          Because BAMS Inc. was (and BAMS LLC now is) a general partner of Verizon
                          Wireless, the restructuring constituted a pro forma transfer of control of various
                          licenses and leases held or controlled by Verizon Wireless. More information about
