Statement of Reasons for Surrender of Authorization In ITC—T/C—20131105—00292, Glenwood Telephone Membership Corporation ("Glenwood Telephone") was authorized to obtain control of KeyArt Comm., Inc. ("KeyArt), the holder of the subject International Section 214 Authorization for Global Resale (File No. ITC—214—19970402—00188). This was part of the merger—acquisition by Glenwood Telephone with Keystone—Arthur Telephone Company ("Keystone—Arthur), which was KeyArt‘s parent company. Glenwood Telephone formed a new wholly—owned subsidiary that acquired Keystonce— Arthur, and changed the name of that subsidiary after the merger to Glenwood Network Services, Inc. ("Glenwood Network Services"). A previously existing subsidiary of Glenwood Telephone, Glenwood Telecommunications, Inc. d/b/a Glenwood Long Distance ("Glenwood Telecommunications"), has long held an International Section 214 Authorization for Global Resale (File No. ITC—214— 19981028—00761). The Glenwood Telephone and Keystone—Arthur merger—acquisition transactions were completed at the end of December 2013. The organization is now engaged in some internal reorganizations and name changes. As part of this process, it has been noted that Glenwood Telecommunications provides the same international toll resale services to Glenwood Telephone customers that KeyArt provides to Glenwood Network Services customers. It has further been determined that Glenwood Telecommunications could provide the entire international toll resale service for the organization in a manner that would be more efficient and less confusing to customers than renaming KeyArt (with a Glenwood name) and maintaining two Glenwood companies providing the same international toll resale services. It has therefore been decided to surrender the International 214 Authorization of KeyArt, and to provide all of the Glenwood Telephone organization‘s international toll resale services via Glenwood Telecommunications. KeyArt customers are aware of the change, and have not indicated any objection, The Glenwood Telecommunications and KeyArt international toll pricing structures and services are identical, so that KeyArt customers will not be adversely affected by the change.
