Dear Madam Secretary:

         Philips Medical Systems North America Co., a division of Philips Electronics North America Corp.
("Philips") is filing the above—referenced application to effectuate a transfer of control of an FCC equipment
authorization from Agilent Technologies, Inc. ("Agilent") to Philips. The application seeks a change in FCC
Identifier, with, to our knowledge, no change in design, circuitry, or construction, of the equipment at issue.

        The equipment is marketed under an authorization previously issued to Hewlett—Packard Company
("HP"). Pursuant to an agreement between HP and its former subsidiary, Agilent, HP authorized Agilent to
continue to manufacture the equipment in accordance with the procedures set forth in Part 2 of the
Commission‘s Rules.

         By this letter, HP consents to the proposed change in FCC Identifier to the extent necessary to make
Agilent the grantee of the authorization so that it may transfer control of the authorization to Philips.
