            transfer of control of the above—referenced FCC equipment authorization from Agilent
            Technologies, Inc. ("Agilent") to Philips upon the closing of the sale of Agilent assets. The
            authorization was previously held by Hewlett—Packard Co., Agilent‘s former parent company.
            The application seeks a change in FCC Identifier, with no change in design, circuitry, or
            construction, of the equipment at issue. By this letter, Agilent hereby consents to the
            proposed change in FCC Identifier to make Philips the grantee of the authorization.
