Please also accept this letter as an attestation that neither Universal Electronics nor any of its officers, directors, or persons holding 5% or more of the outstanding stock or shares, voting or non- voting, have been denied federal benefits under section 5301 of the Anti-Drug Abuse act of 1988, 21 U.S.C. 853(a). In addition, Universal Electronics will notify the Federal Communications Commission if, at any time, the situation changes causing Universal Electronics to be denied federal benefits.
