AND REQUEST FOR ACTION NECESSARY TO RECOGNIZE HP AS RIGHTFUL HOLDER OF AUTHORIZATIONS OF SAMSUNG UPON CLOSING HP Inc. (HP) has entered into a definitive agreement to acquire the printer business and related assets of Samsung Electronics Co., Ltd. (Samsung). The transaction is expected to close by September of 2017 or earlier. HP provides this statement in connection with product certifications issued to Samsung and its affiliated entities related to the printer business. Samsung and its affiliates seek to add HP or its relevant affiliated entity to product registrations and certifications. In connection with this effort, HP authorizes Samsung and its affiliates to identify HP or the appropriate HP affiliate as a manufacturer, effective upon the closing of the transaction. In light of the above, we respectfully support Samsung's request that agencies take steps necessary now so that, upon closing, the agencies will: • Officially recognize that both HP and Samsung entities are the rightful and legal holders of product certifications issued to the printer business of Samsung; • Make conforming changes to the certifications, as necessary, to reflect that HP and Samsung entities are joint holders of the product certifications of the printer business of Samsung, or as the case may be, issue separate Authorizations; Background HP Inc. is a leading global provider of products, technologies, software, solutions and services to individual consumers, small- and medium-sized businesses and large enterprises headquartered in Palo Alto, California, USA. In September 2016, HP and Samsung entered into a definitive agreement under which HP will acquire the printer business and related assets of Samsung. The overall transaction, valued at $1.05 billion, involves the acquisition of the printer business and assets in numerous countries. Following closing, the acquired printer business will be integrated into HP's Office Printing Solutions global business. No Changes to Authorized Activities Notwithstanding this upcoming acquisition, no immediate material changes or modifications will be made to any of the manufacturing processes, products or constituents of the products of the printer business of Samsung.
