Re:    Consent for experimental use of 900 MHz Channels

To Whom It May Concern:

United Parcel Service, Inc. (“UPS”) has notified PDV Spectrum Holding Company, LLC, owned and
operated by Anterix, Inc. (“Anterix”), that it has filed for an Experimental Authorization (the
“Experimental Authorization”) with the Federal Communications Commission (“FCC”). UPS has
requested Anterix’s permission to operate on frequencies (the “Frequencies”) and in the locations
associated with the licenses held by Anterix listed on Attachment A (the “Licenses”).

This Letter provides Anterix’s consent to UPS’s operations using the Licenses from the date of
granting of the Experimental Authorization until the end of the associated designated term (the
“Term”). Anterix confirms that the UPS operations have been coordinated with Anterix and are not
expected to cause unacceptable interference to Anterix operations.

Anterix appreciates that UPS recognizes the importance of private enterprise-grade LTE networks in
support of its mission-critical business communications and applications. Anterix is equally pleased
that UPS plans to test the functionality of private enterprise-grade LTE networks leveraging Anterix’s
900 MHz spectrum, enabling more secure and reliable support for time-critical communications.
Anterix will work with UPS to test these new solutions by leveraging high-performing and highly
available communication solutions.


The consent Anterix provides by this letter is conditioned on the following:

       1) UPS shall maintain the Experimental Authorization as active and valid during the duration of
          the Term. UPS shall be responsible for all costs and expenses relating to the Experimental
          Authorization and its operations using the Licenses.

       2) UPS shall conduct its experimental demonstrations in strict conformance with the technical
          parameters, protocols and other information submitted in its Experimental Authorization
          application and the Special Conditions listed on the Experimental Authorization once granted
          by the FCC.


      3) UPS shall terminate its operations using spectrum authorized under the Licenses immediately
         upon notice from Anterix that harmful interference is being received with regard to its
         operations. UPS shall not re-commence operations until the harmful interference is resolved
         in Anterix’s reasonable discretion and Anterix gives its consent. UPS shall resolve all harmful
         interference at its own cost and expense.
