PHILIPS xB272.01—008s Date: 1 June 2001 To whom it may concer, Statement In November 2000, Royal Phlips Electronics and Agitent Technologies, Inc.signed a binding aureement for Philis to purchase the assets of Agilent‘s Healthcare Solutions Group (HSG) business in 33 countres: Ttis anticipated that HSG will become part othe existing worldwide Philips Medical Systems organization on August 1° 2001. All HSG productswillbeaffected by this aticipated transaction and include, but are t imited to: Patient monitoring systems, fealand maternal monitors, cliical information systems, electrocardiographs, medical supplies, cliicaldata management systems, utrasound imaging systems,and defibrilators. A smooth transition period will bused to phase out tfollowing Brandnames used by Agilent: Hewlet—Packard and Aailent Technologies, which willbereplaced by the Philips Brandnamein future marketing activites (lkely in the course of 2002). Philips® purchase ofthe HSG assets wll require changing labeling, documents and displays conining the Agilent Technologies and Hewlett—Packard names,It will not be possivle to simultsneously implementall these changes. Thus, for some time, you will see a mix of labels— "Hewlett—Packard, ©Agilent Technologies® and "Philips® on the HSG products. 1t important to understand that upon the sale ofthe HSG assts, our products willsillbe designed and manufactured by the same peopl, n the saree locations using the samveprocesscs and equipment. Similarly, the change in brandnames will have no effect on the qualiy of our productsand services and how they are delivered. "The Qualiy Systems atthese sitesare certified for compliance with international Qualty System standards, The aceredited certfiation bodies, TUV Product Service and VDE which provide these certifications, confirm thatthe change in ownership will have no effect other thin the company name on Quality System certifcations. New "Philips® Quality Systems certficates should be available within a few weeks after the change in ownership,and will then be provided to any reaulatory agencies who may need such certificatesforthe purposes ofmedical device reaistrations.
