        By this application, the parties seek Federal Communication Commission (“FCC”)
consent to a proposed transaction affecting the FCC experimental radio licenses issued in the
table below.

        On January 6, 2015, the shareholders of Medtronic, Inc. approved an agreement between
Medtronic and Covidien plc for Medtronic to acquire Covidien through the formation of a new
holding company to be renamed Medtronic plc.1 Medtronic is the global leader in medical
technology that serves hospitals, physicians, clinicians, and patients in more than 140 countries
worldwide. Covidien is a global healthcare products company that creates innovative medical
solutions for better patient outcomes and delivers value through clinical leadership and
excellence. Covidien also develops, manufactures and sells a diverse range of industry-leading
medical device and supply products.

        Upon consummation of the proposed transaction, both Medtronic, Inc., and Covidien plc
will become wholly-owned, indirect subsidiaries of Medtronic plc. Following the merger, the
former shareholders of Medtronic, Inc. are expected to own approximately 70 % and the former
shareholders of Covidien are expected to own approximately 30% of the outstanding ordinary
shares of Medtronic plc.

        By the above-referenced applications, the parties seek FCC consent for the pro forma
transfer of control of the licenses currently held by Medtronic from the current shareholders of
Medtronic, Inc., to the shareholders of Medtronic plc.


                               PUBLIC INTEREST STATEMENT

        The parties submit that the public interest would be served by the approval of the
requested application. FCC consent to the transaction would facilitate continued operations of
the licensee.
