FCC FORM 703 EXHIBIT 1 DECEMBER 2000 PAGE 1 OF 1 DESCRIPTION OF TRANSACTION This transaction involves the pro forma transfer of control of GTE Mobilnet of California Limited Partnership (“GTE Mobilnet/California”), licensee of call sign WA2XWZ, from GTE Wireless Incorporated to Cellco Partnership d/b/a Verizon Wireless. This restructuring follows the consummation of the GTE Corporation-Bell Atlantic Corporation merger, pursuant to which the licensee was placed under the ultimate control of Verizon Communications (formerly Bell Atlantic Corporation). Pursuant to the pro forma restructuring, GTE Mobilnet/California remains the licensee, but is now controlled through Cellco Partnership, which in turn is indirectly controlled by Verizon Communications. Thus, ultimate control of the licensee remains unchanged. Because both the transferor and the transferee are ultimately wholly owned and controlled by Verizon Communications, and because the transaction simply represents a restructuring of the intermediate ownership of the licensee under Verizon Communications, this transaction is considered pro forma.
